ACQUISITIONS & INVESTMENT PARTNERSHIPS
Civsec Group is building a long-term group of essential-services businesses across security, fire, compliance, facilities management and technical services.
We combine operating roots in security with disciplined acquisition, capital-allocation and governance principles. We welcome conversations with business owners, advisers, lenders and aligned investment partners.
Our investment thesis
We focus on established UK service businesses operating in markets supported by regulation, compliance requirements, recurring customer need or mission-critical delivery. These characteristics can produce resilient demand, repeat revenue and opportunities for disciplined long-term growth.- Essential, recurring or compliance-led services
- Recurring, contracted or repeat revenue
- Strong customer retention and dependable delivery
- Capable management teams and specialist operational knowledge
- Clear opportunities to strengthen systems, reporting and commercial execution
How value is created
Our model is based on improving the quality and durability of each business rather than relying only on financial engineering or multiple expansion.- Protecting customer relationships, operational knowledge and local accountability
- Supporting leadership succession and management development
- Improving financial reporting, cash visibility and performance discipline
- Strengthening recruitment, compliance, procurement and operating systems
- Supporting measured organic growth and selective collaboration across the group
Founder-led, management-supported
Civsec Group is founder-led by Hasaan Raza, whose background includes seven years in the Royal Marines followed by approximately fifteen years across security, commercial operations and business development. At group level, the focus is acquisition execution, capital allocation, governance and commercial development. The operating model depends on retaining and supporting capable management within acquired businesses; Civsec does not assume it can replace specialist operators on day one.For investment and capital partners
We are interested in relationships with investors and lenders who understand lower-middle-market acquisitions, essential services and long-term value creation. The best fit is with partners who value:- Transparent underwriting and evidence-led decision-making
- Sensible leverage and adequate working capital
- Strong governance, clear reporting and aligned incentives
- Management continuity and responsible seller transitions
- Patient ownership rather than a forced short-term exit
Capital and transaction structures
Subject to the business, diligence and approvals, an acquisition may involve buyer equity, senior acquisition finance, deferred or vendor consideration and, where appropriate, continued seller participation or external equity. Our priority is a resilient capital structure that leaves the acquired business with sufficient liquidity and does not overburden operations. Any proposal remains conditional on internal, funding, diligence and legal approvals. For business owners
We offer a direct, confidential and pragmatic process. We consider succession, retirement, continued involvement and partial transition, and aim to protect the employees, customers and legacy behind each business. Management continuity is particularly important. Our model is to support capable operators and preserve what already works while providing stronger ownership, systems and commercial support. For brokers and advisers
We welcome relevant opportunities from corporate finance advisers, accountants, lawyers and business brokers. A useful initial submission includes the company overview, location, service lines, ownership position, revenue profile, management structure and seller objectives. Financial information can follow once mutual interest and confidentiality are established. We respect intermediary mandates and aim to respond promptly where an opportunity is within scope. Our acquisition process
- Confidential introduction — understand the business, ownership position and objectives.
- Initial assessment — review strategic fit, management continuity, economics and downside risk.
- Indicative proposal — agree principal commercial terms where there is mutual interest.
- Diligence and financing — undertake a proportionate review and confirm the capital structure.
- Completion and transition — agree a responsible handover for employees, customers and management.
